Welcome to Better Web Management (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your use of our website and services, including web design, development, hosting, automation, SEO, AI integrations, consulting, and related digital services (collectively, the “Services”).

By accessing this website or purchasing/using our Services, you agree to these Terms. If you do not agree, do not use this website or our Services.

2. Use of This Website

You agree to use this website only for lawful purposes and in a way that does not:

Specific service details, deliverables, timelines, and pricing are defined in a separate proposal, invoice, service agreement, or scope of work (“Project Agreement”). If there is any conflict between these Terms and a signed Project Agreement, the Project Agreement controls.

4. Quotes, Proposals, and Scope of Work

All quotes and proposals are based on the scope discussed at the time of estimate.

4.1 Scope Limits

Anything not explicitly listed in the approved scope is considered out of scope and may require a change order, additional fees, or a revised timeline.

4.2 Revisions

Unless otherwise stated in writing, projects include a reasonable number of revisions. Excessive revisions, direction changes, or delays caused by client feedback may result in additional billing.

4.3 Client Delays

If a project is delayed due to missing content, approvals, logins, or communication from the client, timelines may shift. We are not responsible for missed deadlines caused by client delays.

5. Payments, Billing, and Fees

5.1 Payment Terms

Payment terms will be listed on your invoice or Project Agreement. This may include upfront deposits, milestone payments, and monthly recurring billing (for hosting, maintenance, SEO, retainers, etc.).

5.2 Late Payments

Late payments may result in work pause or project hold, late fees (if disclosed in your agreement/invoice), suspension of hosting/maintenance services, or delayed delivery of files or website launch.

5.3 Non-Payment

We reserve the right to suspend or terminate Services for unpaid balances and to withhold final deliverables, site migrations, or admin access transfers until account balances are paid in full.

5.4 No Chargebacks

By purchasing Services, you agree to contact us first to resolve billing issues before filing a chargeback or payment dispute. Unauthorized chargebacks may result in immediate suspension of services and collections action.

6. Refund Policy

Due to the nature of digital services, time-based labor, and custom work:

  • Deposits and setup fees are generally non-refundable
  • Completed work, consulting time, and custom deliverables are non-refundable
  • Monthly services already rendered are non-refundable
  • Refunds (if any) are at our sole discretion unless otherwise required by law

If you cancel an active monthly service, cancellation terms are governed by your service agreement or invoice terms.

7. Client Responsibilities

To deliver Services properly, you agree to:

  • Provide accurate information, assets, and access credentials
  • Respond to requests and approvals in a timely manner
  • Ensure you have rights to any content you provide (images, logos, videos, text, etc.)
  • Review work and provide clear feedback
  • Maintain backups of your own business-critical files and data (recommended)

You are responsible for the legality, accuracy, and ownership of all materials you provide to us.

8. Intellectual Property

8.1 Client Content

You retain ownership of content you provide, including your logos, brand assets, photos, and business materials.

8.2 Our Work Product

Unless otherwise agreed in writing, Better Web Management retains ownership of internal systems and workflows, automation frameworks, reusable code libraries, templates, scripts, and tooling, as well as proprietary methods, prompts, and processes. Upon full payment, the client receives a license (or ownership if explicitly stated) to use the final deliverables for their business purposes.

8.3 Third-Party Tools and Licenses

Some Services depend on third-party tools/platforms (e.g., hosting providers, WordPress plugins, APIs, CRMs, automation tools, AI tools, analytics platforms). Those tools may have separate license terms and fees, and the client is responsible for ongoing costs unless otherwise stated.

9. Website Hosting, Maintenance, and Support

9.1 Availability

We aim for reliable uptime, but we do not guarantee uninterrupted service. Downtime may occur due to server issues, third-party provider outages, plugin/theme conflicts, platform updates, security incidents, or force majeure events.

9.2 Maintenance Scope

Maintenance plans typically cover only the services explicitly listed in the plan. Custom development, redesigns, major fixes, or emergency support may be billed separately.

9.3 Backups

We may provide backups as part of certain plans, but you remain responsible for maintaining your own copies of important data unless a managed backup service is explicitly included.

9.4 Security

We take reasonable measures to protect websites and systems, but no system is 100% secure. We do not guarantee protection from all hacks, exploits, or breaches.

10. SEO, Marketing, and Performance Disclaimer

We provide SEO, optimization, and marketing-related Services based on best practices and experience. However, we do not guarantee rankings, traffic levels, leads, sales, or specific business outcomes. Search engine algorithms and platform rules change frequently. Results vary by competition, budget, niche, and external factors outside our control. Any timelines or projections are estimates, not guarantees.

11. AI and Automation Services Disclaimer

If we build or configure automation or AI workflows for your business:

  • You are responsible for reviewing outputs before using them in production
  • AI-generated content may contain errors and should be verified
  • Third-party API behavior, pricing, limits, and availability may change without notice
  • We are not liable for downtime or failures caused by external platforms, APIs, or service providers

You are responsible for ensuring compliance with laws and platform policies when using automation and AI in your business.

12. Acceptable Use of Our Services

You may not use our Services to create, promote, or operate anything that is illegal, fraudulent, deceptive, or abusive; infringing on intellectual property rights; spam-based or malicious; in violation of advertising, platform, or data privacy laws; or harmful to our systems, reputation, or other clients. We reserve the right to refuse or terminate services for projects we believe create legal, ethical, or operational risk.

13. Confidentiality

We will use reasonable care to protect confidential business information you share with us. Likewise, you agree not to share our proprietary processes, pricing structures, internal documentation, or custom systems without written permission. This section does not apply to information that is public, independently obtained, or required to be disclosed by law.

14. Portfolio and Promotional Rights

Unless otherwise agreed in writing, Better Web Management may display completed work in our portfolio, case studies, social media, or marketing materials for promotional purposes. If your project requires confidentiality or white-label treatment, this must be agreed to in writing before project launch.

15. Limitation of Liability

To the maximum extent allowed by law, Better Web Management is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, business interruption, reputation damage, or third-party platform failures. Our total liability for any claim related to our Services will not exceed the total amount paid by you to us for the specific Service giving rise to the claim in the 3 months preceding the event (or the total project amount, whichever is less).

16. Indemnification

You agree to indemnify, defend, and hold harmless Better Web Management and its owners, contractors, and affiliates from claims, damages, losses, liabilities, and expenses (including legal fees) arising from your misuse of our website or Services, your violation of these Terms, content or materials you provide, your business operations or marketing claims, or your violation of any third-party rights or laws.

17. Termination of Services

We may suspend or terminate Services at any time for reasons including non-payment, abuse or harassment, repeated delays or non-responsiveness, misuse of Services, or high-risk or unlawful activity. You may also terminate services according to the cancellation terms in your Project Agreement or recurring plan. Any outstanding balances remain due.

18. No Warranty

All Services and website content are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

19. Third-Party Websites and Tools

Our website and Services may link to or integrate with third-party websites, software, or platforms. We are not responsible for third-party content, policies, pricing changes, outages, or actions. Your use of third-party tools is subject to their own terms and privacy policies.

20. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any disputes arising under these Terms shall be handled in the appropriate state or federal courts located in Arizona, unless otherwise agreed in writing.

21. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with a revised “Last Updated” date. Continued use of the website or Services after changes are posted constitutes acceptance of the revised Terms.
